Terms and conditions governing Cove Premium subscription services, including billing, benefits, cancellation, and refund policies.

COVE PREMIUM SUBSCRIPTION TERMS

These Cove Premium Subscription Terms ("Premium Terms") supplement the Cove Terms of Service ("Terms of Service") available at usecove.com/legal/terms-of-service and govern your subscription to Cove Premium ("Premium," "Cove Premium," or the "Premium Service"). By subscribing to Cove Premium, you agree to be bound by these Premium Terms in addition to the Terms of Service. In the event of any conflict between these Premium Terms and the Terms of Service, these Premium Terms shall control with respect to the Premium Service. Capitalized terms not defined herein shall have the meanings set forth in the Terms of Service.

These Premium Terms constitute a legally binding agreement between you and Eden Financial Technologies Incorporated, doing business as Cove ("Company," "we," "us," "our"), a company registered in California, United States at 1991 Stanley Avenue, Santa Clara, CA 95050.

1. DEFINITIONS

For the purposes of these Premium Terms, the following definitions apply:

  • "Active Subscription" means a Premium subscription with a status of "active" or "cancelled" (pending expiration) where the current billing period has not yet ended.
  • "Allowance" means the monthly allocation of Banana Bread and Streak Savers distributed to Premium subscribers.
  • "Annual Plan" means the Premium subscription plan billed once per year.
  • "App Store" means the Apple App Store, Google Play Store, or any other authorized digital distribution platform through which the App is made available.
  • "Banana Bread" means the virtual soft currency used within the App for in-app purchases, monkey leveling, and other gameplay mechanics.
  • "Billing Period" means the recurring interval (monthly or annually) for which subscription fees are charged.
  • "Monthly Plan" means the Premium subscription plan billed once per month.
  • "Premium Benefits" means the features, content, allowances, and privileges available exclusively to Premium subscribers, as described in Section 3.
  • "Streak Savers" means the in-app items that allow a user to preserve their daily login streak if a day is missed.

2. SUBSCRIPTION PLANS AND PRICING

2.1 Available Plans. Cove Premium is offered in the following subscription plans:

  • Monthly Plan: A recurring monthly subscription at the then-current monthly price displayed at the time of purchase.
  • Annual Plan: A recurring annual subscription at the then-current annual price displayed at the time of purchase.

2.2 Current Pricing. As of the date of these Premium Terms, the subscription prices are as follows:

  • Monthly Plan: $9.99 USD per month
  • Annual Plan: $99.99 USD per year (equivalent to approximately $8.33 USD per month)

2.3 Price Changes. We reserve the right to change subscription prices at any time. Any price changes will take effect at the start of your next Billing Period following the date of the price change. Your continued use of the Premium Service after a price change constitutes your acceptance of the new price. If you do not agree to a price change, you may cancel your subscription before the price change takes effect.

2.4 Currency. Prices are displayed in US dollars unless otherwise indicated by the App Store in your region. The actual amount charged may vary based on your local currency and applicable exchange rates as determined by your App Store.

2.5 Taxes. All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for any sales tax, value-added tax, or other taxes imposed on your subscription purchase, as determined by the applicable App Store.

3. PREMIUM BENEFITS

3.1 Included Benefits. Subject to these Premium Terms, a Premium subscription includes the following benefits during the term of your Active Subscription:

(a) Permanent Platinum APY Tier: Premium subscribers receive the highest available Annual Percentage Yield ("APY") tier (Platinum) on eligible cash savings held through the App, subject to availability, variability, and the terms of the applicable cash sweep program, with no minimum balance requirement. This benefit is subject to the terms described in Section 16 of these Premium Terms.

(b) Advisory Fee Waiver: Premium subscribers receive a one hundred percent (100%) waiver of the advisory management fee (Assets Under Management, or "AUM" fee) on investment advisory accounts managed through the App. This benefit is subject to the terms described in Section 15 of these Premium Terms.

(c) Monthly Banana Bread Allowance: Premium subscribers receive a monthly allocation of one hundred ninety (190) Banana Bread, the App's virtual soft currency, deposited into their account. This benefit is subject to the terms described in Sections 11 and 12 of these Premium Terms.

(d) Monthly Streak Savers Allowance: Premium subscribers receive a monthly allocation of two (2) Streak Savers. This benefit is subject to the terms described in Sections 11 and 13 of these Premium Terms.

(e) Exclusive Premium Content: Premium subscribers receive access to exclusive in-app content, including but not limited to the Glowtide Biome and other premium-exclusive island customization content that may be made available from time to time. This benefit is subject to the terms described in Section 14 of these Premium Terms.

3.2 Benefit Availability. Premium Benefits are subject to availability and may be modified, supplemented, or discontinued at our discretion in accordance with Section 18 of these Premium Terms. We do not guarantee that any specific Premium Benefit will remain available for the duration of your subscription.

3.3 Personal Use Only. Premium Benefits are for your personal use only and are non-transferable. You may not sell, trade, gift, or otherwise transfer your Premium Benefits or any portion thereof to any other person or account, except as expressly permitted through features we may offer (such as family sharing, if available).

3.4 Estimated Value. Any estimated monetary values attributed to Premium Benefits (such as the value of Banana Bread or Streak Saver allowances) are provided for illustrative purposes only and do not represent actual monetary value, a guarantee of savings, or a commitment regarding the pricing of individual in-app purchases.

4. BILLING AND AUTO-RENEWAL

4.1 Recurring Charges. Your Premium subscription will automatically renew at the end of each Billing Period unless you cancel your subscription before the renewal date. By subscribing to Premium, you authorize the applicable App Store to charge the subscription fee to your designated payment method on a recurring basis.

4.2 Billing Cycle. For Monthly Plans, your Billing Period begins on the date of your initial purchase and recurs on approximately the same date each subsequent month. For Annual Plans, your Billing Period begins on the date of your initial purchase and recurs on approximately the same date each subsequent year.

4.3 Auto-Renewal. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD AT THE THEN-CURRENT SUBSCRIPTION PRICE UNLESS YOU CANCEL AT LEAST TWENTY-FOUR (24) HOURS BEFORE THE END OF THE CURRENT BILLING PERIOD. YOU MAY CANCEL AUTO-RENEWAL AT ANY TIME THROUGH YOUR APP STORE ACCOUNT SETTINGS.

4.4 Payment Authorization. By subscribing, you authorize the applicable App Store to charge your payment method for the initial and recurring subscription fees. You are responsible for ensuring that your payment information is current and accurate.

4.5 Failed Payments. If a payment fails due to insufficient funds, expired payment method, or any other reason, your App Store may attempt to process the charge again. During a billing issue, your Premium Benefits may continue temporarily at the discretion of the App Store's grace period policies. If payment is not successfully processed within the applicable grace period, your subscription may be cancelled and your Premium Benefits will be revoked.

5. PAYMENT PROCESSING

5.1 Third-Party Payment Processing. All Premium subscription payments are processed through the App Store from which you downloaded the App (Apple App Store or Google Play Store). We do not directly process or store your payment card information for subscription purchases.

5.2 App Store Terms. Your subscription purchase is subject to the applicable App Store's terms of service and payment policies, including but not limited to Apple's App Store Terms of Service or Google's Play Store Terms of Service. In the event of any conflict between these Premium Terms and the applicable App Store terms regarding payment processing, the App Store terms shall control with respect to payment processing matters.

5.3 Receipt and Confirmation. Transaction receipts and payment confirmations for your subscription are issued by the applicable App Store. You may view your subscription details and payment history through your App Store account.

6. FREE TRIALS AND PROMOTIONAL OFFERS

6.1 Free Trials. We may, from time to time, offer free trial periods for the Premium Service. If a free trial is offered, you will not be charged during the free trial period. Unless you cancel before the end of the free trial period, your subscription will automatically convert to a paid subscription at the then-current subscription price, and your payment method will be charged accordingly.

6.2 Promotional Pricing. We may offer promotional or introductory pricing for the Premium Service from time to time. Promotional pricing is subject to the specific terms and conditions of the promotion and may be limited in duration, eligibility, or availability. After the promotional period ends, your subscription will renew at the then-current standard subscription price.

6.3 Eligibility. Free trial and promotional offers are generally limited to one per user. We reserve the right to determine eligibility for any free trial or promotional offer and to revoke or modify such offers at any time.

7. PLAN CHANGES

7.1 Changing Plans. You may change your subscription plan (e.g., from Monthly to Annual or vice versa) through the applicable App Store. Plan changes are subject to the policies and procedures of the applicable App Store.

7.2 Effect of Plan Changes. When you change plans, the new plan and pricing will typically take effect at the start of your next Billing Period. The applicable App Store may prorate charges or credits based on the remaining time in your current Billing Period. You should review your App Store's policies for specific details on how plan changes are handled.

7.3 Continuous Access. Your Premium Benefits will continue without interruption when you change plans, provided that your subscription remains active and in good standing.

8. CANCELLATION

8.1 How to Cancel. You may cancel your Premium subscription at any time through your App Store account settings:

8.2 Effect of Cancellation. If you cancel your subscription, you will continue to have access to Premium Benefits until the end of your current Billing Period. After the current Billing Period ends, your subscription will not renew and your Premium Benefits will be revoked. Cancellation does not entitle you to a refund of any fees already paid for the current Billing Period.

8.3 Loss of Benefits Upon Expiration. Upon the expiration of a cancelled subscription, the following will occur:

(a) Your APY tier will revert from Platinum to the standard tier applicable to your account.

(b) The advisory fee waiver will no longer apply, and standard advisory fees will resume on your investment advisory account, if applicable.

(c) You will no longer receive monthly Banana Bread or Streak Saver allowances. Any Banana Bread or Streak Savers previously distributed and remaining in your account will not be revoked.

(d) Access to premium-exclusive content (such as the Glowtide Biome) will be revoked. If your island is currently using a premium-exclusive biome, it will be reset to the default biome.

8.4 Resubscription. If you cancel and later wish to resubscribe, you may do so at the then-current subscription price through the App. Upon resubscription, you will receive prorated Premium Benefits for the remainder of the calendar month in which you resubscribe, as described in Section 11.

9. REFUNDS

9.1 Refund Policy. Because Premium subscription payments are processed through the applicable App Store, refund requests for subscription payments must be directed to the applicable App Store. We do not independently process refunds for subscription purchases.

9.2 How to Request a Refund.

9.3 Effect of Refund. If a refund is granted by the applicable App Store, your Premium subscription will be immediately terminated and all Premium Benefits will be revoked. This includes the immediate removal of the Platinum APY tier, advisory fee waiver, and access to premium-exclusive content.

9.4 App Store Refund Policies. Refund eligibility and processing are governed by the applicable App Store's refund policies. We have no control over the App Store's refund decisions. The App Store's determination regarding refund eligibility is final.

10. SUBSCRIPTION LAPSE AND EXPIRATION

10.1 Billing Issues. If your payment method fails or a billing issue arises, we may temporarily maintain your Premium Benefits during a grace period while the App Store attempts to resolve the payment issue. The duration of any grace period is determined by the applicable App Store and is not guaranteed by us.

10.2 Expiration. When your subscription expires (whether due to cancellation, non-payment, or refund), we will update your account status and revoke Premium Benefits. We make reasonable efforts to process subscription expiration promptly, but there may be a brief delay between the end of your Billing Period and the revocation of benefits due to technical processing.

10.3 Data Retention. Upon subscription expiration, your account data (including any earned Banana Bread, Streak Savers, and island customizations that are not premium-exclusive) will be retained in accordance with our standard data retention practices. We do not delete your core account data solely because your Premium subscription has expired.

11. MONTHLY ALLOWANCES AND PRORATED BENEFITS

11.1 Monthly Distribution. Premium subscribers receive monthly allowances of Banana Bread and Streak Savers. Full monthly allowances are distributed on or around the first (1st) day of each calendar month to all subscribers with an Active Subscription at the time of distribution.

11.2 Prorated Initial Allowance. When you first subscribe to Premium, you will receive a prorated allowance for the remainder of the calendar month in which you subscribe. The prorated amount is calculated based on the number of days remaining in the calendar month divided by the total number of days in that month, multiplied by the full monthly allowance, with a minimum allocation of one (1) unit of each allowance type.

11.3 No Carry-Over or Accumulation Guarantee. Monthly allowances are distributed as described above. Any unused Banana Bread or Streak Savers from a prior distribution period will remain in your account but are not separately tracked or guaranteed. We do not provide retroactive allowances for any period in which you did not have an Active Subscription.

11.4 Distribution Timing. While we endeavor to distribute monthly allowances on the first day of each calendar month, the exact timing of distribution may vary. We are not liable for any delays in the distribution of monthly allowances.

12. VIRTUAL CURRENCY (BANANA BREAD)

12.1 Nature of Banana Bread. Banana Bread is a virtual soft currency used exclusively within the App. Banana Bread has no real-world monetary value and cannot be redeemed for cash, transferred to another user, or exchanged outside of the App. Banana Bread is not a stored-value instrument, e-money, or any form of currency or financial instrument.

12.2 Use of Banana Bread. Banana Bread may be used for in-app purposes as determined by us, including but not limited to leveling up virtual characters, purchasing common in-app items, and other gameplay mechanics. The specific uses and exchange rates for Banana Bread are determined by us and may change at any time.

12.3 No Ownership Rights. You do not own Banana Bread. We grant you a limited, personal, revocable, non-transferable, non-sublicensable license to use Banana Bread within the App, subject to these Premium Terms and the Terms of Service. We reserve the right to manage, regulate, modify, or eliminate Banana Bread at any time, with or without notice.

12.4 Retention Upon Cancellation. Banana Bread in your account at the time of subscription cancellation or expiration will not be revoked solely due to the change in subscription status. However, you will no longer receive future monthly Banana Bread allowances.

13. STREAK SAVERS

13.1 Purpose. Streak Savers are in-app items that allow you to maintain your daily login streak if you miss logging into the App for a day. When a Streak Saver is used, your login streak is preserved as if you had logged in on the missed day.

13.2 Usage. Streak Savers are automatically applied or may be manually applied according to the App's current mechanics. The specific mechanics of Streak Saver usage are determined by us and may change from time to time.

13.3 No Monetary Value. Streak Savers have no real-world monetary value and cannot be redeemed for cash, transferred to another user, or exchanged outside of the App.

13.4 Retention Upon Cancellation. Streak Savers in your account at the time of subscription cancellation or expiration will not be revoked solely due to the change in subscription status. However, you will no longer receive future monthly Streak Saver allowances.

14. EXCLUSIVE CONTENT AND BIOMES

14.1 Premium-Exclusive Content. As a Premium subscriber, you may receive access to exclusive in-app content, including but not limited to premium island biomes (such as the Glowtide Biome), decorations, themes, or other customization options that are available only to Premium subscribers.

14.2 Access During Subscription. Access to premium-exclusive content is contingent upon maintaining an Active Subscription. You may use premium-exclusive content on your island and within the App for the duration of your Active Subscription.

14.3 Revocation Upon Expiration. When your Premium subscription expires, access to premium-exclusive content will be revoked. If your island is currently using a premium-exclusive biome at the time of expiration, your island will be automatically reset to the default biome. We are not responsible for any changes to your island's appearance resulting from the revocation of premium-exclusive content.

14.4 Content Availability. We do not guarantee that any specific premium-exclusive content will remain available. We reserve the right to add, modify, replace, or remove premium-exclusive content at any time, in our sole discretion.

15. ADVISORY FEE WAIVER

15.1 Fee Waiver Benefit. During the term of your Active Subscription, you will receive a one hundred percent (100%) waiver of the advisory management fee (AUM fee) on your investment advisory account managed through the App, if applicable. The standard advisory fee schedule is set forth in the Investment Advisory Agreement ("IAA") available at usecove.com/legal/iaa.

15.2 Applicability. The advisory fee waiver applies only to the AUM fee charged by Eden Financial Technologies Incorporated in its capacity as a registered investment advisor. The fee waiver does not apply to: (a) fees charged by third-party custodians, broker-dealers, or other service providers; (b) transaction costs, commissions, or fund expense ratios; (c) any fees or charges imposed by Alpaca Securities LLC or other partner institutions; or (d) any fees not directly controlled by us.

15.3 Resumption of Fees. Upon expiration or termination of your Premium subscription, standard advisory fees will resume in accordance with the fee schedule set forth in your IAA. Fees will begin accruing from the date your subscription expires or is terminated.

15.4 No Investment Advice. The advisory fee waiver is a subscription benefit and does not constitute investment advice, a recommendation to invest, or an inducement to open or maintain an investment advisory account. All investment decisions are your sole responsibility. All investments involve risk, including the potential loss of principal. Past performance is not indicative of future results.

15.5 Relationship to IAA. The advisory fee waiver described herein supplements and does not replace the terms of your IAA. In the event of any conflict between these Premium Terms and your IAA regarding the advisory fee waiver, these Premium Terms shall control with respect to the amount of the fee waiver during the term of your Active Subscription. All other terms of your IAA remain in full force and effect.

16. ANNUAL PERCENTAGE YIELD (APY) BOOST

16.1 Platinum APY Tier. During the term of your Active Subscription, you will be assigned the Platinum APY tier, which provides the highest available Annual Percentage Yield on eligible cash savings held through the App.

16.2 APY Rates. APY rates are variable and subject to change at any time based on market conditions, changes to our banking partners' rates, regulatory requirements, or other factors. The current APY rates are displayed within the App. We do not guarantee any specific APY rate for Premium subscribers.

16.3 No Minimum Balance. Premium subscribers are not required to maintain a minimum balance to receive the Platinum APY tier. This benefit is available regardless of your account balance.

16.4 Reversion Upon Expiration. Upon expiration or termination of your Premium subscription, your APY tier will revert to the standard tier applicable to your account based on your balance and other non-premium eligibility criteria. The change in APY tier will take effect promptly following subscription expiration.

16.5 Third-Party Cash Sweep. The cash savings APY is provided through our banking partner(s) via the cash sweep program. The APY is subject to the terms and conditions of the applicable cash sweep program and the participating bank(s). FDIC insurance, if applicable, is provided by the participating bank(s), not by Eden Financial Technologies Incorporated or the App.

17. GIFTED OR COMPLIMENTARY SUBSCRIPTIONS

17.1 Admin-Granted Premium. We may, at our sole discretion, grant complimentary Premium access to certain users for promotional, customer support, influencer, testing, or other purposes ("Gifted Premium"). Gifted Premium is subject to these Premium Terms except as noted in this section.

17.2 Duration. Gifted Premium may be granted for a specified period (e.g., 30 days, 90 days, or one year) or for an indefinite period. The duration of your Gifted Premium, if any, will be communicated to you at the time of grant.

17.3 Revocation. We reserve the right to revoke Gifted Premium at any time, for any reason, in our sole discretion. Upon revocation, your Premium Benefits will be terminated as described in Section 8.3.

17.4 No Payment Required. Gifted Premium does not require payment and is not processed through an App Store. Gifted Premium does not create an obligation for us to continue providing Premium access beyond the specified grant period.

18. MODIFICATIONS TO PREMIUM SERVICE

18.1 Right to Modify. We reserve the right to modify, supplement, or discontinue the Premium Service or any Premium Benefits at any time, in our sole discretion, subject to applicable law and Section 18.2 regarding notice of material changes. This includes the right to: (a) change the Premium Benefits included in the subscription; (b) add new benefits or features; (c) remove or modify existing benefits or features; (d) change subscription pricing; and (e) discontinue the Premium Service entirely.

18.2 Notice of Material Changes. We will make reasonable efforts to provide advance notice of material changes to the Premium Service that would significantly reduce the value of Premium Benefits. Notice may be provided through the App, by email, or by updating these Premium Terms. Your continued use of the Premium Service after any such modification constitutes your acceptance of the modified terms.

18.3 Discontinuation. If we discontinue the Premium Service entirely, we will provide notice through the App or by email. In such event, your subscription will not renew, and we will not charge any further subscription fees. We are not obligated to provide refunds for any fees already paid unless required by applicable law or App Store policies. You will retain access to Premium Benefits until the end of your then-current Billing Period.

19. SUSPENSION AND TERMINATION

19.1 Suspension. We reserve the right to suspend your access to Premium Benefits if we reasonably believe that: (a) your account has been involved in fraudulent activity; (b) you have violated these Premium Terms or the Terms of Service; (c) your use of Premium Benefits threatens the integrity or security of our systems; or (d) suspension is required by applicable law or regulation.

19.2 Termination by Us. We may terminate your Premium subscription if: (a) you materially breach these Premium Terms or the Terms of Service; (b) your Cove account is terminated or suspended; (c) we are required to do so by applicable law or regulation; or (d) we discontinue the Premium Service as described in Section 18.3.

19.3 Effect of Termination. Upon termination of your Premium subscription by us, your Premium Benefits will be revoked as described in Section 8.3. If we terminate your subscription for reasons other than your breach of these Premium Terms or the Terms of Service, we will provide or facilitate through the applicable App Store, where permitted by App Store policies, a pro-rata refund of any prepaid subscription fees for the unused portion of your current Billing Period, unless prohibited by applicable law.

19.4 Survival. The following sections shall survive termination or expiration of your Premium subscription: Sections 9 (Refunds), 12 (Virtual Currency), 15.4 (No Investment Advice), 16.5 (Third-Party Cash Sweep), 20 (Disclaimers and Limitations), and 21 (Relationship with Other Agreements).

20. DISCLAIMERS AND LIMITATIONS

20.1 Service Availability. THE PREMIUM SERVICE AND ALL PREMIUM BENEFITS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE ACCESS TO THE PREMIUM SERVICE OR ANY PREMIUM BENEFITS. WE ARE NOT LIABLE FOR ANY INTERRUPTIONS, DELAYS, OR ERRORS IN THE DELIVERY OF PREMIUM BENEFITS, INCLUDING BUT NOT LIMITED TO DELAYS IN ALLOWANCE DISTRIBUTION, TEMPORARY UNAVAILABILITY OF PREMIUM CONTENT, OR FLUCTUATIONS IN APY RATES.

20.2 No Financial Guarantees. PREMIUM BENEFITS THAT RELATE TO FINANCIAL PRODUCTS OR SERVICES (INCLUDING THE APY BOOST AND ADVISORY FEE WAIVER) ARE SUBJECT TO MARKET CONDITIONS, REGULATORY REQUIREMENTS, AND THIRD-PARTY PARTNER AVAILABILITY. WE DO NOT GUARANTEE ANY SPECIFIC FINANCIAL OUTCOME, RETURN, OR RATE OF RETURN. ALL INVESTMENTS INVOLVE RISK, INCLUDING THE POSSIBLE LOSS OF PRINCIPAL.

20.3 Virtual Items. BANANA BREAD, STREAK SAVERS, AND OTHER VIRTUAL ITEMS DISTRIBUTED AS PART OF THE PREMIUM SERVICE HAVE NO REAL-WORLD MONETARY VALUE. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE CONTINUED AVAILABILITY, UTILITY, OR VALUE OF SUCH VIRTUAL ITEMS. WE RESERVE THE RIGHT TO MODIFY OR DISCONTINUE VIRTUAL ITEMS AT ANY TIME.

20.4 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PREMIUM SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

20.5 Exclusion of Damages. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PREMIUM SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

21. RELATIONSHIP WITH OTHER AGREEMENTS

21.1 Terms of Service. These Premium Terms supplement and are incorporated into the Terms of Service. All provisions of the Terms of Service that are not expressly modified by these Premium Terms continue to apply to your use of the Premium Service.

21.2 Investment Advisory Agreement. If you have an investment advisory account managed through the App, your investment advisory relationship is governed by your IAA. The advisory fee waiver described in these Premium Terms modifies the fee schedule in your IAA during the term of your Active Subscription. All other terms of your IAA remain unaffected.

21.3 Privacy Policy. Our collection and use of your personal information in connection with the Premium Service is governed by our Privacy Policy, available at usecove.com/legal/privacy-policy.

21.4 App Store Agreements. Your subscription purchase and use of the App is subject to the terms and conditions of the applicable App Store. In the event of any conflict between these Premium Terms and the applicable App Store terms, the App Store terms shall prevail with respect to payment processing, refunds, and subscription management.

21.5 Entire Agreement. These Premium Terms, together with the Terms of Service, IAA (if applicable), Privacy Policy, and applicable App Store terms, constitute the entire agreement between you and us regarding the Premium Service.
